End-User License Agreement

This End-User License Agreement ("Agreement") is a legal agreement between you ("User" or "you") and ThePulse™ ("Company," "we," "us," or "our") for the use of ThePulse grant writing and management platform (the "Software").

By accessing or using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not use the Software.

Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Software for your internal business purposes.

You may:

• Access and use the Software as permitted by your subscription tier
• Create, edit, and manage grant proposals and related content
• Upload and store documents necessary for grant writing
• Collaborate with authorized team members within your organization

You may NOT:

• Reverse engineer, decompile, or disassemble the Software
• Modify, adapt, or create derivative works of the Software
• Rent, lease, loan, sell, sublicense, or distribute the Software
• Remove, alter, or obscure any proprietary notices on the Software
• Use the Software for any unlawful or unauthorized purpose
• Share your account credentials with unauthorized third parties
• Use automated tools to scrape or extract data from the platform
• Attempt to gain unauthorized access to any portion of the Software

The Software, including all code, designs, graphics, interfaces, and documentation, is the exclusive property of ThePulse™ and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

Your Content: You retain all rights to the grant proposals, documents, and other content you create using the Software ("User Content"). By using the Software, you grant us a limited license to host, store, and process your User Content solely to provide the Software services to you.

We take data security seriously. All User Content is encrypted and stored securely. We will not share, sell, or disclose your User Content to third parties except as necessary to provide the Software services or as required by law.

Access to certain features of the Software requires a paid subscription. You agree to pay all fees associated with your chosen subscription tier.

Subscriptions automatically renew unless cancelled prior to the renewal date. Fees are non-refundable except as required by law or as explicitly stated in our refund policy.

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We do not guarantee that the Software will be uninterrupted, error-free, or free from viruses or other harmful components. We do not warrant that the Software will meet your specific requirements or that any content generated using AI features will be accurate, complete, or suitable for submission to funding organizations.

You are solely responsible for reviewing and verifying all grant proposals before submission. ThePulse™ is a tool to assist in grant writing, not a substitute for professional judgment.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THEPULSE™ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

In no event shall our total liability to you for all damages exceed the amount you paid for the Software in the 12 months preceding the claim.

We are not responsible for the outcome of grant applications prepared using the Software, including but not limited to rejection, delays, or funding decisions made by third-party organizations.

This Agreement is effective until terminated. We may terminate or suspend your access to the Software immediately, without prior notice, if you breach this Agreement.

Upon termination, you must cease all use of the Software. You may request a copy of your User Content within 30 days of termination, after which we may delete your data from our systems.

We reserve the right to modify, update, or discontinue the Software at any time with or without notice. We may also update this Agreement from time to time. Continued use of the Software after changes constitutes acceptance of the revised terms.

This Agreement shall be governed by and construed in accordance with the laws of the United States and the state in which ThePulse™ is registered, without regard to conflict of law principles.

Any disputes arising from this Agreement shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court to protect intellectual property rights.

Entire Agreement: This Agreement, together with our Privacy Policy and any other terms referenced herein, constitutes the entire agreement between you and ThePulse™ regarding the Software.

Severability: If any provision of this Agreement is found to be unenforceable, the remaining provisions will remain in full force and effect.

Waiver: Our failure to enforce any right or provision of this Agreement will not constitute a waiver of such right or provision.
